Under HFSF Law 3864\/2010 (article 10, paragraph 2) the HFSF has the right to have one representative on each bank\u2019s board. The HFSF\u2019s Representatives are the Non-Executive Directors that are appointed by decision of the HFSF\u2019s General Council, to the BoD of each Bank and exercise the voting rights in the respective Board Committees on behalf of HFSF. Piraeus Bank, headquartered in Athens and founded in 1916, offers a full range of financial products and services and represents a leading Bank in Greece with significant market share in terms of customer loans and customer deposits. Piraeus Bank possesses particular expertise in the areas of medium-sized and small enterprises, agricultural banking, consumer and mortgage credit, green banking, capital markets and investment banking, as well as leasing and factoring.\u00a0<\/p>

Piraeus Bank is the only Greek bank to actively participate in the shaping of the global Principles for Responsible Banking, along with other 29 banks from around the world, members of the United Nations Environment Programme Finance Initiative \u2013 UNEP FI.<\/p>

The Bank\u2019s shares are listed in the Athens Stock Exchange since 1918. Piraeus Bank’s share capital amounts to \u20ac2,619,954.984 divided into 436,659,164 ordinary registered shares with voting rights, at a nominal value of \u20ac6.00 per share.\u00a0 On June 28 2013, Piraeus Bank completed a capital increase of \u20ac8.4 bn, with the amount that was drawn by private investors reaching \u20ac1.4 bn or 20% of the \u20ac7.3 bn recapitalisation increase. The remaining amount was drawn by contribution in kind (EFSF Bonds) from the Hellenic Financial Stability Fund.\u00a0 Piraeus Bank and HFSF have entered into a Relationship Framework Agreement (RFA) since 2013. The RFA was amended on 27.11.2015.<\/p>

The Hellenic Financial Stability Fund (HFSF) was notified by Piraeus Bank that following a decision of the ECB Governing Council the Bank will not be paying in cash the 2020 coupon of the Contingent Convertible Bond (CoCo) held by the Fund. As a result, the HFSF anticipates it will become a 61.34% shareholder in Piraeus Bank following the mandatory conversion of the CoCo principal, in accordance with the instrument’s terms agreed in 2015.<\/p>
